This agreement (“Agreement”) is entered into between (“Marketplace Owner”) and (“User”) collectively referred to as “Parties” with respect to the listing and sale of rabbits on the Everbreed Marketplace (“Marketplace”).
- Listing and Sale of Rabbits By listing a rabbit for sale on the Marketplace, the User agrees to the following terms and conditions:
a. License and Compliance: The User represents and warrants that they have obtained any and all necessary licenses, permits, and approvals required by the applicable laws and regulations of their jurisdiction to sell rabbits. The User acknowledges that it is their sole responsibility to comply with all local, state, and federal laws pertaining to the sale of rabbits.
b. Accurate Information: The User agrees to provide accurate, complete, and up-to-date information about the rabbits listed for sale, including but not limited to breed, age, health condition, and any relevant documentation.
c. Legal Ownership: The User represents and warrants that they are the legal owner of the rabbits listed for sale or have obtained proper authorization from the legal owner to sell the rabbits.
d. Prohibited Activities: The User agrees not to engage in any prohibited activities on the Marketplace, including but not limited to fraudulent or misleading listings, misrepresentation of rabbits, or any other activities that violate applicable laws or infringe upon the rights of third parties.
e. Health and Condition of Rabbits: The User acknowledges that they are solely responsible for ensuring the health and condition of the rabbits listed for sale. The Marketplace Owner does not guarantee the accuracy or validity of the health information provided by the User and is not responsible for any health issues or liabilities arising from the sale or purchase of rabbits through the Marketplace.
- Indemnification – The User agrees to indemnify, defend, and hold harmless the Marketplace Owner, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with the User’s use of the Marketplace, any breach of this Agreement, or any violation of applicable laws or rights of third parties.
- Limitation of Liability – The Marketplace Owner shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with the use of the Marketplace or any transactions conducted through the Marketplace. The User expressly understands and agrees that their use of the Marketplace is at their own risk.
- Governing Law and Jurisdiction – This Agreement shall be governed by and construed in accordance with the laws of your State, without regard to its conflict of laws principles. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in your State.
- Entire Agreement – This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral.
